These Terms of Service (“Terms”) govern your access to and use of the websites, applications, platforms, APIs, products, and services offered by Marvel Energy Tech (“Company”, “we”, “our”, or “us”).

By accessing or using any of our services, you agree to be legally bound by these Terms. If you do not agree, you must not use our services.

1. About Marvel Energy Tech

Marvel Energy Tech operates across multiple business verticals, including but not limited to:

  • Solar EPC (Engineering, Procurement & Construction)
  • Solar equipment sales, installation, AMC, and servicing
  • Web development, application development, and hosting
  • SaaS platforms and subscription-based software
  • BPO services (SMS, WhatsApp, voice, automation)
  • WhatsApp Bulk Messaging & Meta Business API services
  • Facebook Ads, Google Ads, and digital marketing services
  • CRM, automation, analytics, and integration services

These Terms apply collectively to all services unless a separate written agreement states otherwise.

2. Eligibility & Acceptance

You must:

  • Be at least 18 years of age
  • Have the legal authority to bind yourself or your organization
  • Use services only for lawful purposes

By using our services on behalf of a business, you confirm that you are authorized to do so.

3. Scope of Services

3.1 Solar EPC & Equipment Services

Includes:

  • System design, supply, installation, commissioning
  • O&M, warranty coordination, and AMC
  • On-site assessments and feasibility reports

⚠️ Disclaimer:
Actual performance depends on site conditions, weather, grid availability, and regulatory approvals.

3.2 Web Development, Hosting & SaaS

Includes:

  • Websites, applications, portals, APIs
  • Hosting, cloud infrastructure, maintenance
  • Subscription-based SaaS platforms

We may use third-party infrastructure providers. Uptime, performance, and availability are subject to reasonable operational limits.

3.3 BPO, SMS, WhatsApp & Communication Services

Includes:

  • Bulk SMS
  • WhatsApp messaging and automation
  • Meta Business API integrations
  • Campaign tools and dashboards

You are solely responsible for:

  • Customer opt-in
  • Consent management
  • Message content legality

We act as a technology provider, not the sender of messages.

3.4 Digital Marketing & Advertising Services

Includes:

  • Facebook Ads
  • Google Ads
  • Campaign management
  • Analytics and reporting

⚠️ No Guarantee Clause:
We do not guarantee leads, conversions, sales, ROI, or ranking outcomes.

4. Client Responsibilities

You agree to:

  • Provide accurate and lawful information
  • Obtain all required customer consents
  • Comply with applicable laws and platform policies
  • Use services ethically and non-abusively
  • Pay all fees on time

You must not:

  • Send spam, fraudulent, or illegal content
  • Violate Meta, Google, TRAI, or WhatsApp policies
  • Reverse engineer or misuse systems
  • Use services for prohibited industries unless explicitly approved

5. Compliance with Laws & Platform Policies

Users must comply with:

  • Indian IT Act, 2000
  • DPDP Act, 2023
  • TRAI regulations (for messaging)
  • Meta Platform & WhatsApp Business Policies
  • Google Ads policies
  • Any applicable local or international laws

Violation may result in immediate suspension or termination.

6. Fees, Billing & Payments

  • Fees are as per quotation, invoice, or subscription plan
  • All payments are non-refundable unless explicitly agreed
  • Delayed payments may lead to service suspension
  • Taxes (GST or others) are charged as applicable

7. Intellectual Property Rights

All platforms, software, designs, content, code, and documentation remain the exclusive intellectual property of Marvel Energy Tech, unless otherwise agreed in writing.

Clients receive a limited, non-transferable license to use deliverables for intended purposes only.

8. Data Protection & Privacy

Use of services is subject to our Privacy Policy, which explains:

  • Data collection
  • Processing
  • Retention
  • Deletion

For WhatsApp and SaaS services, we act as a Data Processor; clients act as Data Controllers.

9. Service Availability & Modifications

We may:

  • Modify, upgrade, or discontinue services
  • Perform maintenance or upgrades
  • Add or remove features

We are not liable for reasonable service interruptions.

10. Suspension & Termination

We may suspend or terminate services without notice if:

  • Laws or platform policies are violated
  • Payment defaults occur
  • Abuse, fraud, or security risks are detected

Upon termination:

  • Access is revoked
  • Data may be deleted as per policy
  • Outstanding dues remain payable

11. Limitation of Liability

To the maximum extent permitted by law:

  • We are not liable for indirect, incidental, or consequential damages
  • Total liability shall not exceed the fees paid in the last 3 months
  • We are not responsible for third-party platform actions or bans

12. Indemnification

You agree to indemnify and hold harmless Marvel Energy Tech from any claims arising from:

  • Illegal message content
  • Lack of user consent
  • Policy violations
  • Regulatory penalties
  • Client-provided data or instructions

13. Force Majeure

We are not liable for failures caused by events beyond reasonable control, including:

  • Natural disasters
  • Power or internet failures
  • Government actions
  • Platform outages

14. Governing Law & Jurisdiction

These Terms are governed by the laws of India.

Courts having jurisdiction over [City, State] shall have exclusive jurisdiction.

15. Amendments

We may update these Terms at any time. Continued use of services constitutes acceptance of updated Terms.
